By accessing or using Icebox ("Service"), operated by Whitetowers Group LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
Icebox is a product of Whitetowers Group LLC, a company registered in Florida, United States.
These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.
We reserve the right to update these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
2. Description of Service
Icebox is an AI-powered email client that provides email management, spam protection, smart categorization, video communication, and productivity features.
The Service allows you to connect your existing email accounts (Gmail, Outlook, etc.) and access them through our platform. We do not replace your email provider; we provide an enhanced interface and additional features.
Some features may require a paid subscription. Free tier users have access to core functionality with certain limitations as described on our pricing page.
3. User Accounts
Account Creation: To use certain features, you must create an account. You agree to provide accurate, current, and complete information during registration.
Account Security: You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.
Account Termination: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.
Account Deletion: You may delete your account at any time through the Settings page. Upon deletion, your data will be removed in accordance with our Privacy Policy.
4. Acceptable Use
You agree not to use the Service to:
• Send spam, phishing emails, or malicious content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems (bots, scrapers) without permission
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without authorization
We reserve the right to investigate violations and take appropriate action, including reporting to law enforcement.
5. Email Account Access
To provide our Service, you authorize us to access your connected email accounts using OAuth or other secure authentication methods.
Permissions: We request only the permissions necessary to provide the Service, including reading, sending, and organizing emails on your behalf.
Third-Party Providers: Your use of connected email accounts remains subject to the terms of your email provider (Google, Microsoft, etc.).
Revocation: You may revoke our access to your email accounts at any time through your email provider's security settings or by disconnecting the account in Icebox.
6. Intellectual Property
Our Property: The Service, including its original content, features, and functionality, is owned by Whitetowers Group LLC, operating as Icebox, and protected by copyright, trademark, and other intellectual property laws.
Your Content: You retain ownership of your emails and other content. By using the Service, you grant us a limited license to process your content solely to provide the Service.
Feedback: If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.
Trademarks: "Icebox" and our logo are trademarks of Whitetowers Group LLC. You may not use them without our prior written consent.
7. Payment Terms
Pricing: Paid plans are billed in advance on a monthly or annual basis. Prices are subject to change with notice.
Payment Methods: We accept major credit cards and other payment methods as displayed at checkout. You authorize us to charge your payment method for all fees.
Refunds: Annual subscriptions may be eligible for a prorated refund within 14 days of purchase. Monthly subscriptions are non-refundable.
Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period.
Failed Payments: If payment fails, we may suspend access until payment is received. We will attempt to notify you before suspension.
8. AI Features
Our Service uses artificial intelligence to provide features like spam detection, email categorization, and smart suggestions.
Accuracy: AI features are provided "as is" and may not be 100% accurate. You should review AI-generated actions and suggestions.
Data Processing: AI features process your email content to function. We do not use your email content to train general AI models.
Limitations: AI features may be unavailable during maintenance or high demand periods. We do not guarantee continuous availability of AI functionality.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee that defects will be corrected or that the Service is free of viruses.
We are not responsible for any loss of data, including emails that may be incorrectly filtered or deleted.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHITETOWERS GROUP LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
This limitation applies to all causes of action, including breach of contract, negligence, and other torts.
Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Whitetowers Group LLC, its subsidiaries, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you transmit through the Service
12. Termination
We may terminate or suspend your access immediately, without notice, for conduct that we determine violates these Terms or is harmful to other users or us.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitations of liability.
You may terminate your account at any time by following the account deletion process in Settings.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Florida.
You waive any objection to venue in these courts.
14. Dispute Resolution
Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@icebox.cool.
Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions.
Exceptions: Either party may seek injunctive relief in court for intellectual property violations.
15. General Provisions
Entire Agreement: These Terms constitute the entire agreement between you and Icebox regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
